Frequently Asked Questions

 QUESTION

ANSWER

1. What is the Demerger?

As announced on 20 February 2026, Ramsay is proposing to distribute all of its 52.79% shareholding in Ramsay Santé to Ramsay Shareholders on a pro rata basis, by way of an in-specie distribution implemented through a scheme of arrangement.

2. Why is the Ramsay Board proposing the Demerger?

The proposal to separate recognises the fundamentally different geographic focus, strategies and capital profiles of Ramsay and Ramsay Santé. The benefits of the proposal for Ramsay shareholders include:

  • Simplification of Ramsay portfolio, enabling management to focus on transformation and growth potential of its core Australian hospitals business
  • Simplification of Ramsay’s reported financial profile through deconsolidation of Ramsay Santé from Ramsay’s financial statements
  • Improved focus for Ramsay Santé, an already established, independently managed and publicly listed business, to continue to pursue its European focused strategy and transformation
  • Limited separation complexity, given Ramsay Santé already operates independently of Ramsay including separate financing and balance sheet arrangements
  • Opportunity for Ramsay shareholders to retain ownership interest in Ramsay Santé
3. When will I receive the Demerger Booklet?

The Demerger Booklet is expected to be released to the ASX and sent to shareholders in October 2026.

The Demerger Booklet will contain additional important information regarding the Demerger, including information about entitlements, tax implications, voting and asking questions.

4. How will I receive the Demerger Booklet?

You will receive the Demerger Booklet in accordance with your communication preferences, that have been nominated with Boardroom (Ramsay’s share registry). For shareholders who have elected to receive Ramsay communications in hard copy, mailing will commence in October 2026. Shareholders who have elected to receive Ramsay communications electronically will receive the materials via email.

You can also request a hard copy of the Demerger Booklet (including Notices of Meeting), Proxy Form or Question Form by contacting Boardroom on 1300 668 019 (within Australia) or +61 2 8016 2897 (outside Australia).

5. What do I need to do?

At this stage, Shareholders are not required to take any action in relation to the Demerger. The Demerger Booklet will contain information about actions required from shareholders.

6. What happens to my existing Ramsay Shares?

Your existing Ramsay Shares are not affected by the Demerger.

If the Demerger is implemented, then Ramsay shareholders will receive shares (or CDIs) in Ramsay Santé proportional to their Ramsay shareholding (which will be in addition to your existing Ramsay shareholding).

7. When will the Demerger take place?

The indicative timetable for the Demerger is below:

  • Publication of Demerger Booklet: October 2026
  • Ramsay’s shareholder meeting to vote on the Demerger: 24 November 2026
  • Expected completion of the Demerger: December 2026

8. What will I receive if the Demerger is successful?

If the Demerger is implemented, Ramsay shareholders will receive shares (or CDIs) in Ramsay Santé proportional to their Ramsay shareholding by way of an in-specie distribution.

As Ramsay Santé is listed on the Euronext and not listed on the ASX, Ramsay is assisting Ramsay Santé to put in place arrangements so that Ramsay shareholders may hold their interest in Ramsay Santé, through CHESS Depository Interests (CDIs), which would be tradeable on the ASX, subject to all applicable approvals.
